The principal activities of Allied Gold are exploration, evaluation and development of mineral resources.
The prime objectives of the Board and management are:
- Enhancing the Company's assets with minimal dilution to shareholder's equity.
- Generating a cash flow to finance ongoing exploration costs and to acquire new projects.
- Maintaining a portfolio of diversified mining projects at various stages of development.
- Spreading the risk and preserving the Company's funds through joint ventures.
Mr Mark Victor Caruso
Chairman & Managing Director
Mr Caruso is a Director of Zurich Bay Holdings Pty Ltd and Simto Australia Pty Ltd, both of which are involved in mining, earthmoving and civil engineering construction earthworks. Mr Caruso is also a Director of Mineral Commodities Ltd.
Mr Richard Johnson
Chief Executive Officer
Mr Johnson graduated in Mining Engineering from Imperial College of Science and Technology, Royal School of Mines in 1972. He also received a postgraduate GDE in Mining from Wits University. Richard is a Fellow of the AusIMM.
Mr Johnson held various production management positions in Johannesburg Consolidated Investment Co Ltd (JCI) at its gold and platinum mines between 1973 and 1979. Whilst with JCI, Richard also worked in the group’s Finance Division responsible for financial modelling and valuation of new capital projects.
From 1980 to 1989, Mr Johnson was an executive director of Golden Dumps Pty Ltd that managed several listed gold mines in South Africa, including South Roodepoort Main Reef Areas Ltd and Consolidated Modderfontein Mines Ltd.
Mr Johnson then established himself as an independent mineral industry consultant in Brisbane, Queensland servicing listed Australian companies with assets both in Australia and internationally.
Mr Johnson joined DRDGold Ltd at the beginning of 2002 with a specific brief to look at growth projects. This led to being responsible for growth in the Australasian region and also the management of Tolukuma Gold Mine in Papua New Guinea on a full time basis. Following this he was appointed as DRDGold Divisional Director Australasia and a Director of Emperor Mines Ltd. He was closely associated with the successful reversal of DRDGold’s PNG assets into Emperor to create a mid-tier Australian growth vehicle in the gold sector.
Mr Jeffrey John Moore
Non-executive Director
Mr Moore is a qualified geologist with over twenty years of Australian and international exploration and mining industry experience. During the last 15 years he has held board positions for several ASX listed companies gaining exposure to a range of commodities including gold, diamonds, base metals, industrial minerals and lightweight metals.
Mr Anthony Lowrie
Non-executive Director
Mr Lowrie, was chairman of ABN AMRO Asia Securities Limited, having originally been a partner of Hoare Govett Ltd, which he joined in 1973, and is currently a managing director in ABN AMRO Bank, based in London.
Mr Lowrie is also currently a director of Kenmare Resources PLC, Quadrise Fuels International, the Thai Euro Fund and the Edinburgh Dragon Fund. His former directorships include JD Wetherspoon PLC.
Mr Gregory Hugh Steemson
Non-executive Director
Mr Steemson is a qualified geologist and geophysicist with an extensive background in exploration, development and management of mining projects. He is also a director of Mineral Commodities Limited (since January 2001) and Sandfire Resources NL (since June 2003). Former directorship of public listed companies in the last 3 years is Allied Mining & Processing Limited (June 2002 until July 2003).
Mr Peter Torre
Company Secretary
Mr Torre is a principal of Prospera Corporate and was previously a partner of an internationally affiliated firm of Chartered Accountants, where he also held the position of Chairman of the National Corporate Services Committee.
Mr Torre holds a Bachelor of Business, is a Chartered Accountant, a Chartered Secretary and a member of the Australian Institute of Company Directors. He has also completed a Graduate Diploma in Company Secretarial Practice.
Mr Torre is the Company Secretary of several ASX listed companies, is a Director of Carbine Resources Limited and is one of the founders of the charity organisation “A Better Life Foundation WA”. Besides acting as a non executive director of the Company he will also be the Company Secretary.

The Company’s Issued share Capital consists of 339,974,710 ordinary shares each share having equal voting rights. The company also has on issue 2,040,000 options expiring on 31 August 2008 with an exercise price of $0.40, 4,210,000 options expiring on 31 December 2008 with an exercise price of $0.50 and 750,000 options expiring on 31 December 2008 with an exercise price of $0.80.
The Company does not hold any ordinary shares in treasury and therefore the total number of Ordinary shares with voting rights is 339,974,710.
